This agreement (including all its updates, supplements, and additional terms, hereinafter referred to as "this agreement") is a service agreement established between you and METAVERSE CLOUD PTE. LTD. and its affiliates (hereinafter referred to as "we") regarding the purchase and use of AI AnyTrans products and related matters, which has contractual effect. Please pay special attention to and carefully read the terms highlighted in bold in this agreement, as these terms may have significant implications for your rights and interests. You should purchase and use AI AnyTrans products only after voluntarily accepting all the terms of this agreement. If you have any questions about this agreement during your reading, you can consult our customer service. If you do not agree with this agreement or any of its terms, you should immediately stop purchasing AI AnyTrans products and must not use AI AnyTrans products in any way.
When you fill in the information as prompted on the AI AnyTrans product order page, select the product you wish to purchase, complete the order purchase and payment, and click to check this agreement on the order page, it indicates that you have read this agreement and fully understand all its contents (including but not limited to an accurate understanding of the rights, obligations, liability limitations, or exemption clauses stipulated in this agreement) and agree to be bound by this agreement. By clicking to check this agreement, it indicates that this agreement takes legal effect between you and us, and you voluntarily accept and comply with all the terms of this agreement. At that time, you shall not claim that this agreement is partially or wholly invalid and/or request to revoke this agreement for any reason, including but not limited to not having read or understood the contents of this agreement.
The content of this agreement includes but is not limited to the agreements, rules, and other content related to the AI AnyTrans products and related services that have been published and may continue to be published and updated on the AI AnyTrans platform (hereinafter referred to as "changes").__Changes take effect from the date of announcement or notification issuance or the effective date specified in the announcement or notification, and become an inseparable part of this agreement. You can check it on the AI AnyTrans platform, and we will not notify you separately.
In addition to this agreement, the AI AnyTrans platform will also publish other rules and regulations, such as the "Privacy Policy," etc.
1. AI AnyTrans Product Description
1.1 AI AnyTrans products are subscription-based product services. We provide customers with access to the subscribed services according to service specifications and applicable documents during the subscription period you purchased. In consideration of our provision of such access to the subscription service, you will pay us the agreed fees specified in the online purchase process or in the order during the subscription period.
2. Service Fees
2.1 If you pay for the subscription of AI AnyTrans product services: You will pay us the service fee according to the service standards and service period you choose. The AI AnyTrans platform will deduct the service fee for the month from your account at the beginning of each month as agreed in the order. If your account balance is insufficient, you should promptly pay to recharge. If you do not recharge after your account balance is exhausted, we have the right to suspend the AI AnyTrans product service.
2.2 Taxes: The service fees for AI AnyTrans products do not include taxes; all taxes related to the AI AnyTrans services you subscribed to through your order are to be borne by you.
3. Activation and Suspension of Services
3.1 If you successfully submit an order by selecting and purchasing the corresponding product service through the AI AnyTrans platform, the order is established. The order takes effect after you make full payment within the time specified by the AI AnyTrans platform. You should pay the service fees specified in the order using the payment method selected in the order. If you choose to pay by credit card, you are responsible for ensuring that the credit card can cover the service fees specified in the order. If the credit card limit is insufficient or the credit card refuses payment, we may suspend providing services to you until you make full payment.
3.2 After you fully pay the service fees specified in the order, we will activate the corresponding services for you based on the products you purchased in the order.
3.3 The recharge discounts and consumption discounts on the AI AnyTrans platform are subject to the announcements on the order page at the time of recharge or consumption. The discounts enjoyed during recharge or consumption depend on real-time pricing and promotional activities, and will be void after the deadline.
3.4 If your account balance is insufficient, please recharge in a timely manner. Otherwise, from the date your account balance is exhausted, we have the right to suspend the corresponding services until you make a new recharge.
3.5 You should carefully and reasonably keep and use your AI AnyTrans platform account and password. You are fully responsible for all actions and results under your account. If you find any abnormal operations in your account (including unauthorized use, theft, or other security issues), you should immediately change your password and notify us if necessary. We are not responsible for any losses and consequences caused by your voluntary disclosure, improper custody, or attacks and fraud by others. You should pursue legal remedies against the infringer.
4. Your Rights and Obligations
4.1 You use the AI AnyTrans services according to the provisions of this agreement. The AI AnyTrans services may involve access to third-party artificial intelligence services, and you agree to...You agree and commit to comply with all agreements (including but not limited to https://openai.com/policies/terms-of-use) and usage policies (including but not limited to https://openai.com/policies/usage-policies) of the third-party artificial intelligence services accessed by the AI AnyTrans service, as well as applicable laws and regulations. If you violate the aforementioned agreements, usage policies, or applicable laws and regulations, we have the right to request you to rectify the situation. If you refuse to rectify, repeatedly violate, or engage in serious violations, we have the right to take further actions, including but not limited to restricting, suspending, or terminating your account.
4.2 You provide input content (hereinafter referred to as "input content") to the AI AnyTrans service and receive output content (hereinafter referred to as "output content") generated and returned by the AI AnyTrans service based on the input content; the input content and output content are collectively referred to as "content." To the extent permitted by applicable law, you own all rights to the input content, and provided that you comply with applicable laws and do not infringe upon the rights of third parties, you may exercise all rights to the output content. You agree that we may submit the necessary related content to third-party AI service providers through the AI AnyTrans platform to obtain higher quality AI-generated answers.
4.3 Your input indicates your consent for us to collect and store your input content and output content for the purpose of providing services. You guarantee the legality, compliance, authenticity, and accuracy of the input content (including but not limited to information, materials, images, text, fonts, audio, video, materials, code, etc.) and that it does not infringe upon any third party's legitimate interests or intellectual property rights. Otherwise, you shall bear all consequences and legal responsibilities for any damages caused to third parties' legitimate interests, leakage of confidential information, or trade secrets, etc. If we suffer losses as a result, including but not limited to compensation to third parties, we reserve the right to seek recovery from you.
4.4 You guarantee that the content does not violate applicable laws and the provisions of this agreement. You shall not use the output content to generate discriminatory content, harm the image, reputation, or other legitimate rights and interests of third parties, nor engage in commercial hype or improper marketing. You should conduct appropriate manual reviews of the output content, especially when used for automated decision-making. When using the output content, you must add a label indicating that the output content is AI-generated to avoid any misunderstanding by your customers or third parties.
4.5 You guarantee that you have the capacity to fulfill your obligations under this agreement, and that such fulfillment does not violate any applicable legal restrictions binding on you, nor will it infringe upon any third party's legitimate rights or intellectual property rights; your use of AI AnyTrans products must comply with applicable laws and you shall bear corresponding legal responsibilities.
4.6 You agree and confirm that all data generated from your use of AI AnyTrans product services will be stored and transmitted to the cloud servers of our designated cloud service provider in Singapore.
4.7 If your input content involves personal information, you guarantee to strictly comply with the legal provisions related to personal information in the jurisdiction of the personal information subjects, ensuring that your processing of relevant personal information (including but not limited to collection, use, transmission, sharing, etc.) complies with the regulatory requirements of the country/region where the personal information subjects are located. For the purpose of this agreement, if there is cross-border data transmission, you shall fulfill the compliance obligations for data exit in accordance with the laws and regulations of the data exit location, and we may assist and cooperate. You guarantee to fulfill the aforementioned legal compliance obligations before the data crosses borders. If you violate the above agreement and cause us losses or result in government penalties against us, you shall bear the compensation responsibility.
Five, Our Rights and Obligations
5.1 The AI AnyTrans platform has technical documentation and instructions for using AI AnyTrans product services, which can help you use AI AnyTrans product services.
5.2 We are responsible for the daily operation and maintenance of the AI AnyTrans platform, promptly eliminating faults, except for issues caused by your own reasons and/or force majeure and matters beyond our control. When you discover any abnormalities with the AI AnyTrans products, please notify us immediately. After receiving your feedback, we will actively assist you in debugging until normal operation is restored. We do not bear any responsibility for interruptions or other faults in the AI AnyTrans product services caused by your own reasons and/or force majeure and matters beyond our control, but we will make every effort to minimize the losses and impacts caused to you.
5.3 We will only temporarily store content or processed content on our servers to the extent necessary to provide services. Any further storage of content or processed content will only be done at the customer's request, such as using the "saved translation" function. To avoid doubt, we have the right to create and maintain access logs for billing, security, and statistical purposes. Such access logs shall not contain any content or processed content. However, access logs may contain metadata of API requests, such as the time of the API request and the size of the transmitted content.
5.4 You shall bear the risks and losses of information leakage, order misuse, etc., caused by the leakage of your account password due to your own reasons. We do not bear any responsibility. To avoid legal risks arising from the misuse of your account after it has been stolen, we will take reasonable measures to prevent third parties from operating your account after you report the situation.
5.5 During your use of AI AnyTrans product services, if you engage in actions that harm the legitimate rights and interests of third parties or infringe upon third-party intellectual property rights, or if there are violations of this agreement or applicable laws, we have the right to interrupt or terminate the AI AnyTrans product services without any compensation and reserve the right to pursue your legal responsibilities, and you shall bear all responsibilities.
5.6We reserve the right to change, suspend, or terminate part or all of the AI AnyTrans product services at any time, and we also reserve the right to adjust the types, forms, and billing standards of the AI AnyTrans products provided based on actual circumstances. Due to the needs of our business development or changes in applicable laws and regulatory policies, we have the right to adjust the scope of services provided to you, but we will notify you in a reasonable manner after such adjustments.
6. Information Protection
6.1 We have the right to collect, use, disclose, and store the data generated during your use of the AI AnyTrans product services in accordance with the provisions of this agreement and the privacy policy. We will take various physical, electronic, and managerial security measures that meet industry standards to protect the security of your data and avoid the risk of data leakage.
6.2 You agree that we have the right to process information, data, and materials related to you in ways such as collection, storage, use, processing, and transmission, and we also have the right to utilize the aforementioned information, data, and materials for big data development, enjoying statutory rights such as intellectual property rights over the development results. We commit to exercising the aforementioned rights in strict accordance with the principles of legality, legitimacy, and necessity, ensuring compliance with the mandatory provisions of applicable laws, and taking reasonable measures to use the aforementioned information, data, and materials in accordance with the rules, purposes, methods, and scope of information collection and processing published in the privacy policy.
6.3 You understand and agree that, except for ourselves and our affiliated companies, and unless otherwise stipulated in this agreement, we shall not provide the aforementioned information, data, and materials to unrelated third parties.
6.4 We guarantee not to publicly disclose or provide the information, data, and materials you store on the AI AnyTrans platform while using the AI AnyTrans product services to unrelated third parties, except in the following cases:
(1) With your prior authorization and consent;
(2) As required by applicable laws or instructions from authorized agencies, including but not limited to fulfilling legal obligations of information disclosure, cooperating with audit supervision, and providing relevant information, data, and materials as required by judicial authorities for investigation and evidence collection;
(3) Any information leakage resulting from you informing a third party of your AI AnyTrans platform account and password or sharing your account and password with a third party, or any other information leakage not caused by us;
(4) You publicly disclose or provide information, data, and materials on your own;
(5) Any leakage of your information due to hacking, computer virus intrusion, or other force majeure events;
(6) For the need to maintain the interests of the public.
6.5 In order to provide you with better and more convenient services, you understand and agree that we have the right to push and remind you of order progress messages and promotional information you are interested in on the AI AnyTrans platform based on your relevant information.
6.6 To enhance your user experience, we will conduct comprehensive statistics and analysis of your information, data, and materials to provide more accurate, personalized, smooth, and convenient services.
6.7 After we inform you about upgrades or updates related to the AI AnyTrans products, you may upgrade or update according to our requirements. In special circumstances as we deem necessary, you should complete the upgrade or update of the AI AnyTrans products in a timely manner according to our upgrade or update requirements.
6.8 You shall ensure the authenticity and validity of the personal information provided, and shall not infringe upon the legitimate rights and interests of any third party. If there are any errors, inaccuracies, outdated, or incomplete information provided by you, or if it infringes upon the legitimate rights and interests of third parties, we have the right to suspend or terminate the services provided to you, or restrict your use of part or all of the functions of the AI AnyTrans products, and you shall bear full compensation responsibility.
6.9 Without our written consent, you shall not authorize third parties to use the data generated during the use of AI AnyTrans product services; you shall not distribute, sell, resell, lease, license, sublicense, or otherwise provide any information from the AI AnyTrans platform or any user information to third parties.
6.10 You shall not use any data mining, robots, or similar data collection and extraction tools to collect or mine information from the AI AnyTrans platform or user information.
7. Intellectual Property Rights
7.1 We own all rights and intellectual property rights to all content on the AI AnyTrans platform, including but not limited to trademark rights, patent rights, computer software copyrights, trade secrets, and business secrets. Without our written consent, you shall not copy, imitate, modify, translate, adapt, lend, sell, sublicense, disseminate, or transfer the AI AnyTrans product services on information networks, nor shall you misappropriate, decompile, disassemble, dismantle, maliciously attack, or engage in any other actions that harm our and third parties' security and rights, or use the AI AnyTrans products for purposes outside of this agreement.
7.2 We agree that you may use our name, trade name, trademark, logo, domain name, and other commercial identifiers in the commercial promotion of your partners; you agree that we may use your name, trade name, trademark, logo, domain name, and other commercial identifiers in the commercial promotion of our partners and promote the content of our cooperation with you as customer cases. Under no circumstances shall either party engage in activities that may affect the cooperation between the parties or infringe upon the legitimate rights and interests of the other party, such as reputation, intellectual property, and privacy.
8. Liability for Breach of Contract
8.1 If you violate the provisions of this agreement while using the AI AnyTrans product services, including but not limited to violating personal information protection, infringing upon third-party intellectual property rights by any means, or using any containingObscene, defamatory, slanderous, rumor, racist, or any materials or information that infringe upon the name rights, reputation rights, or privacy rights of third parties, resulting in claims, lawsuits, or other proceedings against us by third parties, you shall compensate us for all losses incurred as a result (including but not limited to all expenses such as litigation/arbitration fees, attorney fees, settlement fees, compensation fees, and fines).
8.2 If it is found that you have breached the contract, we have the right to directly delete the relevant information without prior notice, suspend or terminate the provision of AI AnyTrans product services to you, and require you to immediately stop using and copying the relevant documents.
8.4 We have the right to stop AI AnyTrans product services in any of the following situations:
8.4.1 You access the AI AnyTrans platform, upload, publish information, or improperly use AI AnyTrans products in violation of applicable laws;
8.4.2 Your actions infringe upon the privacy, trade secrets, intellectual property rights, or legitimate rights and interests of third parties;
8.4.3 Your actions violate applicable laws.
In the event of the above situations, you shall independently bear all responsibilities in your own name and compensate for any losses suffered by any third party that has been infringed.
8.5 We have the right to conduct a breach review of your actions, and you agree and irrevocably acknowledge our review results and the evidence collected. After we handle your breach of contract in accordance with this agreement or relevant orders, it does not exempt you from the legal responsibilities you should bear.
8.6 You shall bear legal responsibility for your actions during the use of AI AnyTrans product services. Your legal responsibilities include but are not limited to: compensating the injured party, and after we have borne the administrative penalties or infringement damages resulting from your actions, you shall provide us with equivalent compensation. Under no circumstances shall we be liable to you or any third party for any indirect, consequential, incidental, special, or punitive damages arising from this agreement.
Nine, Exemption Reasons
9.1 We have the right to regularly or irregularly maintain or upgrade the AI AnyTrans platform, if the AI AnyTrans product services are interrupted or suspended for a reasonable time due to maintenance or upgrade, we shall not bear any responsibility for this.
9.2 We shall not be liable for any losses you incur due to any of the following situations:
9.2.1 Occurrence of force majeure, which refers to objective circumstances that cannot be foreseen, avoided, or overcome, including but not limited to government actions, natural forces, fire, explosion, geographical changes, storms, floods, earthquakes, tides, lightning, or war;
9.2.2 Hacker attacks, computer virus intrusions or outbreaks;
9.2.3 The system is damaged, paralyzed, or unable to function normally;
9.2.4 Technical adjustments by telecommunications departments;
9.2.5 Any situation affecting the normal use of the network or services, including the suspension or termination of AI AnyTrans product services due to policy adjustments by telecommunications operators;
9.2.6 Temporary closure due to government regulation;
9.2.7 Other situations not caused by our fault.
9.3 If we are required to delete all or part of the data you accessed on the AI AnyTrans platform according to applicable laws, legal procedures, government mandatory orders, or judicial rulings, we have the right to delete your relevant information without bearing any responsibility.
10. Termination and Transfer of Agreement
10. Termination of Agreement
10.1.1 When you stop using our AI AnyTrans product services or we cannot contact you through the contact information you provided within a reasonable time, we will terminate the provision of AI AnyTrans product services to you.
10.1.2 When your actions are illegal or violate regulations, we have the right to terminate AI AnyTrans product services and require you to immediately stop the illegal or violating behavior.
10.1.3 In the event of a force majeure incident that prevents either party from continuing to perform related obligations, we will terminate the provision of AI AnyTrans product services to you.
10.1.4 After the termination of this agreement, we have the right to decide whether to retain any information you have stored on the AI AnyTrans platform. You do not have the right to request us to retain or forward any information in your account to you or third parties.
10.1.5 Any fees you should pay but have not settled under this agreement will become due immediately upon termination of this agreement, and the fees you should pay also include other fees incurred in pursuing the unpaid fees (such as attorney fees), which we may deduct from your account or through other settlement methods, and you shall make up for any shortfall.
10.2 Transfer of Agreement
10.2.1 We have the right to transfer all rights and obligations stipulated in this agreement to our affiliates. In the event of a transfer, we will notify you through website announcements, internal messages, emails, etc.
10.2.2 Without our prior written consent, you shall not transfer all or part of your rights under this agreement or transfer all or part of your obligations under this agreement.
Eleven, Notice
All notifications we make to you under the terms and rules of this agreement can be made through announcements on the AI AnyTrans platform, internal messages, emails, etc., and such notifications shall be deemed delivered on the date of sending.
Twelve, Interpretation of this Agreement, Applicable Law, and Dispute Resolution
12.1 We have the right to interpret the terms of this agreement.
12.2 The establishment, validity, interpretation, performance, modification, and termination of this agreement, as well as the resolution of disputes, shall be governed by the laws of Singapore and shall not violateThe mandatory provisions of other laws that may apply to this agreement._
12.3 Any disputes arising from the use of this service shall be resolved through mutual negotiation. Any legal disputes that cannot be resolved through negotiation shall be subject to the jurisdiction of the courts in the location of the AI AnyTrans platform company._
12.4 If any provisions of this agreement are determined to be invalid, illegal, or unenforceable under the provisions of applicable laws, the remaining provisions of this agreement shall remain in effect and binding on both parties.
